Marcus E. Bromley

Marc Bromley has over 20 years of experience in the real estate industry ranging from his roles in finance and development in the private sector to his role as CEO of a large public real estate company.

Mr. Bromley served as CEO and Chairman of the Board of Gables Residential Trust (NYSE: GBP) from its IPO to his retirement in 2001. He continued to serve on the $3 billion company's board until its sale late in 2005.

Prior to taking Gables public in 1993, Mr. Bromley was a division partner for the Southeast operation of Trammel Crow Residential. His division developed in excess of $500 million of apartment properties from 1982 through 1993. Mr. Bromley's real estate experience also includes financial roles at The Sea Pines Company (Amelia Island, Florida).

Mr. Bromley also serves as a Director of Cole Property Trust, a $4 billion retail REIT based in Phoenix, Arizona. In addition he serves on the board of Cole Property Trust III, a newly formed REIT, and on the board of Private Bank of Buckhead, a de novo community bank based in Atlanta, Georgia.

In the past Mr. Bromley has served on the Advisory Board for The Shoptaw Group, the Board of Rescheck, and The Advisory Board for the School of Commerce, Economics and Politics at Washington and Lee University. He also is a past President of the Atlanta Apartment Association.

Jeffrey P. Hughes

Jeff Hughes is Vice Chairman and a founding partner of The Cypress Group, a New York based private equity firm which currently manages two private equity funds with more than $3.5 billion in commitments.

After practicing with the law firm Simpson Thacher & Bartlett, LLP, Mr. Hughes worked for 26 years at Lehman Brothers as a senior investment banker and merchant banker. Mr. Hughes joined Lehman Brothers in 1968 and became a partner in 1976. During his career at Lehman, he founded Lehman Brothers' private financing department and led early LBO financings; had senior investment banking coverage responsibilities for industrial, energy and consumer product companies; was head of the financial institutions group; and was a member of Lehman Brothers' investment committee.

Mr. Hughes has been a director of many public and private companies during his 42-year business career including Financial Guaranty Insurance Company, Communications & Power Industries, Inc., Catlin Group Limited, Lear Corporation, Medicus Insurance Holdings, Inc. and Parisian, Inc.

Mr. Hughes graduated from Wesleyan University and Duke University Law School. He is Chairman of the Duke Global Capital Markets Center and is a Trustee of the Park Avenue Church Trust Fund and The Battery Conservancy.

Kent J. Hussey

Mr. Hussey has over 40 years experience in executive management, finance and turnarounds in a variety of business sectors, including aerospace, automotive, electronics and consumer products.

In mid 2009, as CEO of Spectrum Brands, a global consumer products company, he led the company through a re-organization followed by a 2010 merger which resulted in a $3 billion revenue company with significantly reduced debt and brands such as Remington, Rayovac, Black & Decker, ToastMaster, George Foreman, 8 in 1, Hot Shot and numerous other consumer products.

Prior to joining Spectrum as chief financial officer in 1996, Mr. Hussey served as executive vice president of finance and CFO of ECC International, a global producer of industrial minerals and specialty chemicals. He directed expansion programs in Far East, Australia and New Zealand to capture emerging business opportunities.

Mr. Hussey was vice president of finance and CFO of The Regina Company, president, COO and CFO of Astechnologies, and has held financial management positions for The Conair Group, United Technologies Corp., Fairchild Industries Corp. and Grumman Aerospace Corp.

Mr. Hussey earned his bachelor's degree in psychology from the University of Rochester and his Master of Business from the Stern School of Business at New York University.

R. William “Bill” Ide

Mr. Ide is a Partner in the Atlanta office of McKenna Long & Aldridge, an international law firm. In his practice he focuses on representing boards of directors, audit committees and management with special investigations, ethics and corporate governance.

Mr. Ide currently serves as a member of the Board of Directors of Albemarle Corporation (NYSE:ALB) where he serves on the Compensation Committee and the Nominating and Governance Committee. He also serves as a member of the Board of Directors of AFC Enterprises, Inc. (NASDAQ:AFCE) where he chairs the Governance Committee and serves on the Audit Committee.

He is also chair of the Advisory Board to the Conference Board's Governance Center, a senior fellow and co-founder of Emory University's Directors Institute and he serves on the Audit and Governance Committees of the Clark Atlanta University Board of Trustees and on the Audit Committee of the EastWest Institute.

Mr. Ide formerly served as senior vice president and General Counsel of Monsanto Company (NYSE:MON), a $30 billion life sciences company, as Counsel to the United States Olympic Committee and as President of the American Bar Association.

Mr. Ide received his B.A. degree, cum laude, from Washington and Lee University, J.D. degree from the University of Virginia and M.B.A. degree from Georgia State University. He has lectured extensively and published numerous articles on corporate governance.

Robert E. Mason

Bob Mason has been involved in community banking in Georgia since 1967, serving at various times as Senior Commercial Lending Officer, founding Director and President of various institutions. He resides in Madison, Georgia and is currently engaged in family and personal investments which include real estate development and serving as a Director of United Bancshares, a closely held multi-bank holding company in middle Georgia.

Mr. Mason began his banking career at the First National Bank of Gainesville, Georgia where he became Vice President and Senior Commercial Lending Officer. He left to become non-executive President and Director of the First National Bank of Madison and to take over management of the Mason family agribusiness interests. He later became CEO and Chairman of First National Bank of Madison, which was merged into Trust Company Bank, and served as an Advisory Director at SunTrust until 2003. During this period, Mr. Mason was also a founder and Director of the Bank of Banks County, Homer, Georgia and a founder of the Bank of Georgia, Watkinsville, Georgia.Mr. Mason has served as Chairman of the Georgia Baptist Foundation and as a Trustee of Athens Academy, the Madison Baptist Church and the Morgan County Industrial Development Authority. He was selected for Leadership Georgia and has served as Trustee of the Georgia Tech Alumni Association, Tift College, the Madison Morgan County Cultural Center and the Community Foundation for Morgan County.

A graduate of Georgia Institute of Technology and the Louisiana State University Graduate School of Banking, Mr. Mason served in the US Navy as a Lt. j.g. from 1960-1962.

Walter G. Moeling, IV

Walt Moeling heads the Financial Institutions practice group of Bryan Cave, LLP (formerly Powell Goldstein, LLP) an international law firm. In this practice, he represents banks, thrifts, insurance companies and securities firms nationwide.

Mr. Moeling organizes banks, their holding companies and their non-bank affiliates and subsidiaries. He advises financial institutions regarding raising capital, going private, repurchasing stock and conversion to Subchapter S tax status. He also negotiates and structures the purchase and sale of bank holding companies, financial institutions, non-bank affiliates, branches and other financial institution assets. Mr. Moeling also counsels clients on corporate governance matters, on operational and regulatory issues faced by financial institutions and on strategies for dealing with hostile takeovers and dissident shareholders.

Mr. Moeling is an active participant in trade association activities and is General Counsel of the Georgia Bankers Association. He is a frequent speaker on banking topics throughout the United States, and his comments are regularly covered in the banking and general business press. He is also a regular contributor to banking periodicals and is the co author of Georgia Corporate Forms, a two-volume compilation of critical corporate documents.

Mr. Moeling has been recognized in Who's Who in America, in the South; in American Law; in Business and Finance and as one of America's Leading Business Lawyers by Chambers and Partners. In 2004, he was named as one of the Top Ten Super Lawyers in Georgia by Atlanta Magazine. He is a Director and past Chairman of The Frazer Center and a Director of Children's Rehabilitation Center Incorporated, which are non-profit corporations providing rehabilitation services to young children and adults with disabilities. Mr. Moeling received his B.A. and J.D. degrees from Duke University.
